汇丰控股是汇丰集团控股公司,在全球经营包括零售银行及财富管理、工商业务、环球银行及资本市场、全球资人银行等四大业务,该公司的经营范围可包括欧洲、香港、亚太其他地区、中东和北非、北美、拉丁美洲等六大地区。公司分为4个部门来运作:1、零售银行和财富管理(Retail Banking and Wealth Management)——提供一系列个人银行产品和服务,包括流动和储蓄账户,抵押贷款和个人贷款,信用卡,借记卡,本地和国际支付服务; 以及财富管理服务,包括保险和投资产品,资产管理服务和财务规划服务。2、商业银行(Commercial Banking)——提供信贷和国际贸易和应收款融资; 资金管理和流动性解决方案,如付款和现金管理,以及商业卡; 商业保险和投资; 外汇产品,债务和股权融资以及向中小型企业,中型市场企业和企业提供咨询服务。3、全球银行和市场(Global Banking and Markets)——提供融资,咨询和交易服务,以及信贷,利率,外汇,股票,货币市场和证券服务; 以及对政府,企业和机构客户以及私人投资者的资本投资活动。4、全球私人银行业务(Global Private Banking businesses)——提供投资管理,咨询,自由裁量和经纪服务; 私人财富解决方案,包括信托和遗产规划; 以及向高净值和超高净值个人及其家庭提供私人银行服务。截止2018年3月,汇丰银行在全球67个国家拥有3900家分行。 汇丰控股/汇丰银行(HSBC)历史百科: 汇丰集团是由香港上海汇丰银行经多年扩展而成。香港上海汇丰银行于1865年3月在香港开业,同年于上海及伦敦开设分行,又在旧金山设立代理行,其成立的导火线源自香港洋行的权力划分(1864年7月,位于孟买的英国商人计划创立以香港为基地的中国皇家银行,发行3万股,每股200印度卢比,但只计划向香港及中国的商人配售5000股,引起香港洋行不满)。 香港上海汇丰银行创办时,资本额共500万港元,共2万股,每股250港元,1866年每股又1拆2,变成4万股,每股125元。 1865年3月2日,临时委员会改组成董事局,3月3日正式开业,总部设在中环皇后大道中1号沙宣洋行所持有的域多利大厦,1866年8月14日,香港上海汇丰银行条例获香港政府及英国财政部批准通过,汇丰注册为有限责任公司,并获授权发行香港钞票。 首先于1955年在美国加州成立集团首间附属公司-加州香港上海汇丰银行。 1959年,汇丰收购有利银行及中东英格兰银行,这是汇丰集团的第一宗收购。 1965年,汇丰收购恒生银行的控制性股权。 1972年,汇丰成立获多利有限公司(即汇丰投资银行控股有限公司前身)。 1980年,汇丰入股美国海丰银行(Marine Midland Bank),并在1987年成为汇丰的全资附属公司。 1981年,汇丰收购赤道控股有限公司(Equator Holdings Limited)的控制性股权;同年汇丰收购苏格兰皇家银行失败;据说,收购失败原因,部分是当时香港的银行监管未符合英国标准,以及汇丰本身在香港的特殊地位所致。 1987年,汇丰入股英国米特兰银行(Midland Bank),透过合作协议,汇丰和米特兰互相转拨业务。 1989年8月22日,汇丰银行宣布了两项重要改革措施: 其一是修订长期沿用的汇丰银行条例;其二是根据公司法重新注册,并改名为香港上海汇丰银行有限公司(The Hong Kong Shanghai Banking Corporation Ltd.)。 1990年12月,汇丰突然宣布暂时搁置全面收购米特兰银行。汇丰并未明言暂时搁置的原因。不过,一般分析认为,当时,汇丰在美国和澳洲的业务都出现严重亏损,而米特兰银行面对的困难更加严重,合并的时机并不成熟。 1990年12月17日,香港上海汇丰银行宣布进行结构重组,成立一间集团控股公司,名为汇丰控股有限公司,汇丰银行股份转移到汇丰控股名下,汇丰控股在英国注册,但以香港为集团总管理处。 1992年7月,汇丰控股收购米特兰银行馀下的股份,正式取得其业务,拓展欧洲市场,汇丰集团总管理处在1993年1月由香港迁往伦敦。 1998年11月,汇丰集团宣布统一品牌,差不多所有业务地区的附属公司均采用汇丰品牌和六角形标志,而香港上海汇丰银行个别在亚太地 区以外的办事处亦纳入采用汇丰品牌的当地附属公司网络(例如香港上海汇丰银行部分在英国的分行纳入英国汇丰银行的网络)。 汇丰控股在1999年在纽约证券交易所上市、进行股份拆细,把每一股拆为三股及股票面值由英镑改为美元折算。 2000年因收购法国商业银行取代法国商业银行于巴黎证券交易所的上市地位。 2003年10月11日,巴西汇丰斥资8.15亿美元(约63.57亿港元)收购莱斯银行巴西消费融资业务 Losango 。 2004年因收购百慕大银行取代百慕大银行于百慕大证券交易所的上市地位。 2004年7月12日,汇丰以7.63亿英镑(110亿港元),购入英国马莎集团旗下的马莎零售金融服务( MSRF)全部股权,作价相等于 MSRF现时资产净值1.56倍。成为英国3大发卡行之一。 2004年01月01日,汇丰控股(005)宣布,旗下美国丰银行( HSBC Bank USA)将出售本身的贴现服务(与贸易相关的银行业务)予美国 CITI Group Inc.,作价及协议条款未有透露。 2005年12月,美国汇丰融资以16亿美元完成收购Metris Companies Inc.
